1. Acceptance
By using MemoraCore, you agree to these Terms and our Privacy Policy. If you're using it for an organization, you confirm you have authority to bind them.

3. Accounts & Plans
You must create an account to use the Service. Keep your credentials secure.
1 agent, 100 users
3 agents, 500 users
10 agents, 2K users
Unlimited, 10K users
4. Acceptable Use
You may NOT:
- • Violate laws or regulations
- • Create agents that impersonate real people without consent
- • Process sensitive data without safeguards
- • Attempt unauthorized access
- • Resell API access
- • Bypass safety features
- • Use for spam, harassment, or manipulation
AI Responsibility:
AI agents may produce incorrect outputs. You must implement human oversight, configure escalation rules, and disclose to end users they're talking to AI.
5. API Usage
API Keys
Keep confidential. You're responsible for all calls made with your keys.
Rate Limits
Based on your plan. Exceeding may result in throttling.
Fair Use
We may limit excessive or abusive usage.

7. Payment
Billing
- • Monthly or annual, in advance
- • Prices in USD
- • Automatic renewal
Changes
- • Upgrades: immediate, prorated
- • Downgrades: next billing cycle
- • Refunds: at our discretion
8. Service Level
We target 99.9% uptime but don't guarantee uninterrupted access. We may perform maintenance or modify features with reasonable notice.
9. Liability & Warranties
THE SERVICE IS PROVIDED "AS IS". We don't guarantee accuracy of AI outputs, uninterrupted operation, or security against all threats.
LIABILITY CAP: Our total liability is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater.
10. Termination
By You
Cancel anytime via dashboard. No refunds for prepaid periods.
By Us
Immediately for violations, 30 days notice otherwise. Export your data first.
11. Disputes
Contact us first to resolve informally. Unresolved disputes go to binding arbitration under AAA rules. Class actions are waived. Governed by Delaware law.
12. Changes
We may modify these Terms. Material changes will be notified 30 days in advance via email. Continued use after changes = acceptance.
